Pennsylvania Enacts Annual Reporting Requirement, Starting in 2025

Business owners operating in the state of Pennsylvania have historically been required to file a report with the Department of State every 10 years. However, beginning in 2025, most domestic and foreign business associations will now be required to file an annual report. 

The deadline for filing a report for domestic and foreign corporations is June 30, 2025. Domestic and foreign limited liability companies will need to file their annual report by September 30, 2025. All other business associations, such as domestic and foreign partnerships will have until December 31, 2025 to file their report. The report can be filed online at file.dos.pa.gov.

The Department of State is mailing a notice of the filing requirement to businesses two months prior to the respective filing date. However, if the notice is not received, businesses are not relieved of their filing requirement. Failure to file could result in the dissolution, termination, or cancellation of the association’s registration.
