Areas of Specialization

Clifford is a manager in Kreischer Miller’s M&A/Transaction Advisory Services group. He specializes in supporting buyers and sellers through anticipated transactions by providing financial and tax due diligence, quality of earnings analyses, and merger and acquisition services. In this role, Clifford works closely with clients and deal teams to analyze historical financial results, identify key diligence findings, and help clients understand transaction‑related financial and tax considerations, including quality of earnings, working capital considerations, and net debt analyses.

Clifford’s corporate tax experience enables him to support transactions through entity selection considerations, asset versus stock transaction analysis (including related seller gross‑up considerations when applicable), and after‑tax, after‑debt net proceeds analyses. He also assists clients with corporate restructuring matters related to acquisitions and divestitures, helping them understand the associated tax implications.

Prior to specializing in transaction advisory, Clifford worked in Kreischer Miller’s Tax Strategies group where he gained extensive experience providing tax planning and compliance services to middle‑market companies across a range of industries, including manufacturing and distribution, real estate, and professional services. In his corporate tax role, Clifford was responsible for multiple tax areas, including income tax provision work (ASC 740), personal property tax, and sales and use tax.

Background

Clifford rejoined Kreischer Miller in 2021. Prior to working for Kreischer Miller, Clifford was a Senior Tax Accountant at Globus Medical, Inc. in Audubon, PA where his responsibilities included tax compliance and planning for direct and indirect taxes, in addition to tax provision reporting. He also worked as a Senior Tax Accountant at Kreischer Miller, where he originally joined in 2014 upon graduation from Penn State University.
